Please support the new TD Member Voices GoFundMe to help engage lawyers to assist with our efforts to ensure a membership vote on the TD Downhill Ski Lodge. WHAT IS THIS ALL ABOUT
We are a group of over 1,000 concerned members who wants our Board to be fiscally responsible, hold to the tenants of transparency on which they ran for the Board election, and seek and listen to member inputs. Current plans look like the BOD will almost double the size of the Downhill lodge to 28,000 sf. (up from the current level of 14,500) and spend upwards of $23MM on a new ski lodge for which Tahoe Donner does not have the funds to support. This will commit the board to raising our assessment at least 48% from 2020 to 2025 and significantly reduce our funds for other needed maintenance and improvements and critical strategic project areas like fire prevention.
WHAT ARE WE TRYING TO ACCOMPLISH
We are trying to get the BOD to seek member input and approval prior to committing to such an extreme expense. We believe the membership should decide on expense/size of a new DHS lodge. Contrary to some rumors, we are not against replacing the current lodge. We are against the BOD overspending to basically create an event center without the membership’s approval.
In our TDMemberVoices Survey, over 78% of the respondents, almost 1,000 members, said that they want a member vote to approve such an expensive project. We have asked the BOD to reach out for a full membership vote regarding members’ preference for the maximum budget/spend on the DHS lodge rebuild. The BOD has totally ignored this request and has instead opened a few meetings to "sell" this expensive project to the general membership.
We created and sent a RFP to a couple of HOA focused law firms and have selected one we feel is extremely versed in Sterling/Davis and HOA laws. We recently met with the lawyers and our next step is to raise the funds to accomplish the tasks below.
OUR PATH FORWARD
Our immediate goal is to engage a lawyer to assist with our efforts to ensure a membership vote on the TD Downhill Ski Lodge. In our effort to have the BOD seek input from the membership on the DHSL, we are hiring an attorney with HOA skills and deep Sterling/Davis knowledge to help shape how best to proceed. We need financial assistance in this effort.
In order to move forward, we must begin a fundraising effort for the tasks below.
Immediate goals for the attorneys:
Read the Tahoe Donner CC&R & Bylaws, and in conjunction with Davis Stirling, provide us overall guidance on how to proceed.
Understand that our goal is to have a membership vote that would offer choices regarding:
The establishment of a spending cap
The offering of design choices on the eventual rebuild of our Downhill Ski Lodge.
Determine and document whether the BOD can proceed on a new DHS lodge without having the necessary funds currently in the bank and thus committing future Boards to this endeavor, along with substantial assessment increases.
After reading the CC&Rs & Bylaws, suggest an initial path forward.
If they believe that a petition is a good idea, then a review of the finalized petition draft with their recommendations and edits.
Review of the Roth recall rejection letter from Tahoe Donner’s outside Counsel dismissing our effort to recall a Board member to determine if that was a valid rejection based on Davis/Sterling. Note that the rejection of the petition was based on using electronic signature votes rather than “wet votes.” A review of the rejection letter will let us know if a petition can be signed electronically by a membership vote to create a budget limit for the Downhill Ski lodge.
Clarify the prioritization of Davis/Sterling vs. the TDA CC&Rs & Bylaws.

Timing is critical, as we need to engage the lawyers within the next two weeks in response to Tahoe Donner’s submission of preliminary applications to the Town of Truckee, despite Board protestations saying that “we are only in the third inning of a decision.”
